Bylaws of the Alnwick-Haldimand Business Owners Association
Article I: Name and Purpose
Section 1: Name
The name of this organization shall be the Alnwick-Haldimand Business Owners Association, hereinafter
referred to as the; Association.

Section 2: Purpose
The purpose of the Association shall be to promote the interests of local businesses in Alnwick-
Haldimand and to provide a forum for networking, education, and advocacy.

Article II: Membership

Section 1: Eligibility
Membership shall be open to any business owner or manager in Alnwick-Haldimand who agrees to
abide by the bylaws of the Association.

Section 2: Annual Fee
Members shall be required to pay an annual fee determined by the executive committee. The fee
amount shall be communicated to the members at least thirty (30) days prior to the start of the new
membership year.

Section 3: Voting Rights
Each member shall be entitled to one vote on any matter presented to the membership for a vote. Proxy
voting shall not be permitted.

Article III: Executive Committee
Section 1: Composition
The executive committee shall consist of a president, vice president, secretary, and treasurer,
collectively known as the "Officers." The Officers shall be elected by the membership in accordance with
Article IV.
Section 2: Duties and Responsibilities
a. President: The president shall preside over all meetings of the Association and the executive
committee. The president shall provide leadership and strategic direction to the Association and
represent it in external matters.
b. Vice President: The vice president shall assist the president in the discharge of their duties and shall
assume the president's responsibilities in their absence.
c. Secretary: The secretary shall be responsible for maintaining accurate records of all meetings,
correspondence, and official documents of the Association.
d. Treasurer: The treasurer shall oversee the financial affairs of the Association, maintain accurate
financial records, and provide regular financial reports to the membership.

Section 3: Term of Office
The Officers shall be elected by the membership and shall serve for a term of one (1) year. They may be
re-elected for consecutive terms if nominated and elected.

Article IV: Elections
Section 1: Nominations
Nominations for the executive committee positions shall be accepted from the membership at least
thirty (30) days prior to the annual general meeting.

Section 2: Election Process
a. The election of Officers shall take place during the annual general meeting.
b. A majority vote of the members present shall be required to elect an Officer.
c. In the event of a tie, a run-off election shall be held between the tied candidates.

Section 3: Vacancies
In the event of a vacancy in any executive committee position, the remaining committee members may
appoint a qualified member to fill the vacancy until the next annual general meeting.

Article V: Meetings
Section 1: General Meetings
General meetings of the Association shall be held at least quarterly, or as determined by the executive
committee. The time, place, and agenda of each meeting shall be communicated to the membership at
least fourteen (14) days prior to the meeting.
​
Section 2: Special Meetings
Special meetings may be called by the president, a majority of the executive committee, or upon written
request of at least ten percent (10%) of the membership. The purpose of the meeting shall be stated in
the notice provided to the membership, and only matters related to the stated purpose may be
discussed.

Article VI: Amendments
Section 1: Proposal
Any member may propose an amendment to these bylaws by submitting a written proposal to the
executive committee. The proposal shall be reviewed and considered at the next general meeting or a
special meeting called for that purpose.

Section 2: Approval
An amendment to these bylaws shall be approved by a two-thirds (2/3) majority vote of the members
present at the meeting where the proposal is being considered.
Article VII: Dissolution
In the event of the dissolution of the Association, any remaining funds and assets shall be distributed to
a charitable organization or organizations in Alnwick-Haldimand, as determined by the executive
committee and approved by a majority vote of the members present at a special meeting called for that
purpose.

Article VIII: Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the
Association in all cases to which they are applicable and in which they are not inconsistent with these
bylaws or any special rules of order the Association may adopt.
